OVERVIEW

This website is operated by Kyza Jewels Private Limited, operating under the brand names β€œKyza”, β€œKyza India” and β€œKyza Jewellery” (β€œKyza”, β€œwe”, β€œus” or β€œour”).

Kyza offers this website, including all information, content, tools, features, products and services available through it, to you, the user, subject to your acceptance of these Terms of Service and all policies and notices referenced in them.

By accessing our website, communicating with us regarding an order, placing an order through our website or other authorised sales channel, or purchasing any product from us, you engage in our β€œServices” and agree to be bound by these Terms of Service (β€œTerms”).

These Terms apply to all users of the website, including browsers, customers, purchasers, account holders and persons submitting custom jewellery enquiries.

Please read these Terms carefully before accessing or using the website. By accessing any part of the website or purchasing from us, you agree to these Terms. If you do not agree, you should not use the website or place an order.

Any new tools, features, products or services added to the store will also be subject to these Terms.

We may update or replace any part of these Terms by publishing the revised version on our website. Where required by applicable law, we will provide additional notice. Your continued use of the website following an update constitutes acceptance of the revised Terms.

Our online store is hosted by Shopify, which provides the e-commerce platform through which we offer products and Services.


SECTION 1 – ELIGIBILITY AND ONLINE STORE TERMS

By using the website or placing an order, you represent that:

  1. you have reached the age of majority in your jurisdiction and are legally capable of entering into a binding purchase agreement; or

  2. you are using the website under the supervision and with the consent of a parent or lawful guardian.

You may not use our products, website or Services for any illegal, unauthorised or fraudulent purpose.

You must not:

  • violate any applicable law;

  • infringe intellectual property rights;

  • transmit viruses, malicious code or harmful software;

  • attempt to interfere with website security;

  • impersonate another person;

  • submit false customer, payment or delivery information; or

  • misuse discounts, promotions, checkout systems or payment facilities.

A breach of these Terms may result in refusal or termination of access to our Services, cancellation of an order where legally permitted and any other action available to us under applicable law.


SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse Service, restrict access or decline an order where we reasonably believe that:

  • the transaction may be fraudulent;

  • incorrect information has been provided;

  • the order is intended for unauthorised resale;

  • the customer has misused promotions or payment facilities;

  • fulfilment is not operationally possible;

  • the order violates our policies; or

  • accepting the order may violate applicable law.

Any refusal, restriction or cancellation will remain subject to applicable consumer law.

Information you submit through the website may be transmitted across networks and modified as technically necessary to operate the Service.

Payment information is handled through authorised checkout and payment providers. Full payment credentials such as card CVV, UPI PIN or online-banking password should never be provided to Kyza through email, WhatsApp, telephone or social media.

You may not reproduce, copy, resell or commercially exploit any portion of our website, content, product photographs, designs or Services without our written permission.

Headings are provided for convenience and do not limit the interpretation of these Terms.


SECTION 3 – PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, dimensions, materials, prices and other information displayed on the website are accurate.

However, jewellery is photographed under controlled lighting and may appear differently depending on:

  • screen settings;

  • lighting;

  • camera exposure;

  • magnification;

  • reflections;

  • stone shape;

  • metal finish; and

  • individual perception.

Images may be enlarged to show design and craftsmanship details. They should not be treated as exact representations of physical scale unless measurements are specifically stated.

Where measurements, stone weights or jewellery weights are described as approximate, reasonable manufacturing variations may occur.

The appearance of a finished custom piece may vary slightly from a reference image, CAD or digital rendering because of differences in stone proportions, ring size, handmade finishing, metal behaviour and practical manufacturing requirements.

We may correct errors, update information or modify product descriptions at any time.


SECTION 4 – PRICES, TAXES AND QUOTATIONS

Prices displayed on the website may be changed without prior notice.

The price applicable to an order is generally the price confirmed at checkout or in the written quotation accepted by the customer, subject to any clearly disclosed adjustments for:

  • final gold weight;

  • changed specifications;

  • additional stones;

  • upgraded materials;

  • engraving;

  • resizing;

  • priority production;

  • insured shipping;

  • international delivery;

  • customs;

  • taxes; or

  • other customer-requested modifications.

All prices are stated in the currency shown on the website and include or exclude taxes as indicated during checkout or in the quotation.

Solid-gold jewellery

Solid-gold quotations may be calculated using:

  • the prevailing gold rate;

  • estimated metal weight;

  • stone value;

  • making charges;

  • hallmarking or certification;

  • applicable taxes; and

  • additional services.

Where clearly communicated before order confirmation, the final payable amount may be adjusted according to the finished gold weight, final stone specifications or changes approved by the customer.

A quotation is valid only for the period stated in it. Where no validity period is stated, we may revise the quotation before payment if gold rates, stone prices or specifications change.

Once an advance has been paid and materials have been procured or production has begun, subsequent movements in gold or material prices will not ordinarily entitle the customer to cancel the order.


SECTION 5 – ORDER ACCEPTANCE

Submitting an order or making a payment does not automatically require us to accept the order in every circumstance.

An order is considered accepted after:

  • payment or the agreed advance has been received;

  • required specifications have been confirmed;

  • the order is acknowledged by Kyza; and

  • we determine that the product can reasonably be produced and delivered.

We may request additional information before accepting or processing an order, including:

  • ring size;

  • delivery address;

  • telephone number;

  • identity or tax information for insured or high-value shipping;

  • design confirmation;

  • metal and stone choice;

  • engraving details;

  • payment verification; or

  • other information reasonably required to fulfil the order.

If we are unable to accept an order after receiving payment, we will communicate with the customer and process the appropriate refund, subject to any lawful deductions where work was expressly authorised and already completed.


SECTION 6 – MADE-TO-ORDER JEWELLERY

Most Kyza jewellery is made after the order is placed. It is not necessarily held as ready stock.

Production timelines shown on the website or communicated by our team are estimated production periods and do not include shipping time unless expressly stated.

Production begins after:

  • the required payment is received;

  • the ring size is confirmed;

  • material and stone selections are confirmed;

  • customisation details are confirmed; and

  • any required CAD or design approval is received.

Once production has begun, changes may not be possible.

Where a customer requests a change after production begins, we may:

  • decline the requested change;

  • charge an additional amount;

  • extend the production timeline; or

  • require the product to be remade.

The customer will be informed before any additional paid work is undertaken.

Reasonable handmade variations in finish, structure, symmetry, stone placement or dimensions do not automatically constitute a defect, provided the product remains materially consistent with the confirmed design and specifications.


SECTION 7 – CUSTOM AND BESPOKE ORDERS

Custom and bespoke jewellery may be created using:

  • customer reference photographs;

  • sketches;

  • verbal or written instructions;

  • stone-size specifications;

  • CAD renders;

  • existing Kyza designs;

  • measurements; or

  • a combination of these materials.

Reference photographs supplied by a customer are treated as inspiration unless we expressly agree in writing to reproduce specific measurable features.

The customer is responsible for clearly confirming:

  • ring size;

  • metal;

  • purity;

  • finish;

  • stone type;

  • stone shape;

  • stone size;

  • setting style;

  • band width;

  • engraving;

  • deadline; and

  • all other relevant specifications.

Kyza may recommend technical modifications for durability, comfort, structural integrity or manufacturing feasibility.

Where a reference design cannot safely or practically be reproduced exactly, we may propose an alternative structure. Any material design change will be communicated for approval before production.

Third-party designs

Customers must not knowingly ask us to reproduce a design in a manner that unlawfully infringes another party’s copyright, trademark, design right or other intellectual property.

Kyza may refuse a custom request where we reasonably believe the request creates an intellectual-property, technical, ethical or legal concern.


SECTION 8 – CAD, DESIGN AND CUSTOMER APPROVAL

A CAD render is a digital design representation and is not a photograph of the finished jewellery.

Colours, reflections, prong thickness, stone sparkle and proportions may appear different in the final physical product.

Where a CAD, sketch or specification sheet is provided, the customer must review:

  • design structure;

  • stone arrangement;

  • stone dimensions;

  • band width;

  • setting height;

  • prongs;

  • engraving;

  • ring size; and

  • other visible specifications.

Approval provided through email, WhatsApp, direct message or another written communication will be treated as authorisation to begin or continue production.

Once approval is given and production begins:

  • changes may incur additional charges;

  • changes may extend the timeline;

  • some changes may not be possible; and

  • a complete remake may be required.

Kyza is not responsible for an aspect that was clearly visible or stated in an approved CAD or specification and was not raised before production.

This does not limit responsibility for manufacturing defects or material departures from the approved design.


SECTION 9 – RING SIZE AND MEASUREMENTS

Customers are responsible for providing the correct ring size according to the Indian ring-size system unless another sizing system is expressly agreed.

We recommend confirming size through a professional jeweller or using a properly fitted ring sizer.

Online conversion charts are approximate and may vary between sizing systems.

Fit may also be affected by:

  • band width;

  • ring design;

  • finger shape;

  • temperature;

  • swelling;

  • stacking;

  • dominant hand; and

  • personal comfort preference.

A ring manufactured according to the confirmed size is not defective merely because the customer later finds the fit unsuitable.

Resizing may not be possible for every design. Eternity rings, intricate settings, engraved rings, tension settings and certain stone arrangements may have limited or no resizing capacity.

Where resizing is possible, additional charges, shipping costs and production time may apply.


SECTION 10 – ENGRAVING AND PERSONALISATION

Customers are responsible for checking the spelling, capitalisation, dates, symbols and wording submitted for engraving.

Kyza will generally reproduce engraving details as confirmed by the customer.

Once engraving or personalisation has begun:

  • changes may not be possible;

  • cancellation may not be available; and

  • correction may require remaking or additional charges.

Personalised, engraved, resized and custom jewellery is ordinarily not eligible for return or exchange, except where required under applicable law or where the product is defective or materially different from the confirmed order.


SECTION 11 – MATERIALS AND STONES

Products may be manufactured using materials including:

  • 92.5 sterling silver;

  • 14K gold;

  • 18K gold;

  • rhodium;

  • gold or rose-gold plating;

  • cubic zirconia;

  • moissanite;

  • lab-grown diamonds;

  • natural diamonds; and

  • coloured stones.

The material used for each order will be the material stated on the product page, invoice, order confirmation or written quotation.

Stone carat weights may be stated as approximate, particularly where dimensions are the primary basis of selection.

Natural stones may contain inclusions, colour variations or other characteristics arising from natural formation.

Lab-grown diamonds, moissanite and cubic zirconia may also show minor differences based on cut, size, batch, lighting and grading.

We do not guarantee that separate stones purchased or produced at different times will be perfectly identical in colour or appearance.

Certification will be provided only where expressly included in the product description or quotation.


SECTION 12 – JEWELLERY FINISH, TARNISHING AND CARE

Sterling silver naturally reacts with air, moisture, skin chemistry and environmental conditions and may tarnish over time.

White rhodium, gold and rose-gold finishes are surface coatings that may gradually wear or fade depending on:

  • frequency of use;

  • contact with water;

  • perspiration;

  • perfume;

  • cosmetics;

  • cleaning chemicals;

  • humidity;

  • friction;

  • storage; and

  • individual skin chemistry.

Natural tarnishing and gradual plating wear are not manufacturing defects.

Customers should:

  • remove jewellery before bathing or swimming;

  • avoid direct contact with perfume and chemicals;

  • avoid wearing jewellery during exercise or household work;

  • store pieces separately in a dry place;

  • avoid bending or forcing delicate structures; and

  • follow any care instructions supplied by Kyza.

Damage arising from impact, pulling, bending, mishandling, chemical exposure, ordinary wear and tear, unauthorised repair or failure to follow care instructions may not qualify as a manufacturing defect.

Repolishing, replating, resizing, stone replacement and repair may be offered depending on the product and condition. Charges and shipping costs may apply.


SECTION 13 – PRODUCTION TIMELINES

Any production date or delivery date communicated by Kyza is an estimate unless we expressly guarantee it in writing.

Production may be affected by:

  • design complexity;

  • customisation;

  • material availability;

  • gemstone availability;

  • hallmarking;

  • certification;

  • quality-control requirements;

  • remake or correction requirements;

  • public holidays;

  • artisan availability;

  • transport disruption;

  • natural events;

  • governmental restrictions; or

  • circumstances beyond our reasonable control.

Working days generally exclude Sundays, public holidays and other closure days communicated by us.

A quality-control delay intended to correct or improve a product does not automatically entitle the customer to compensation, provided we communicate within a reasonable period and fulfil our obligations under applicable law.

Customers should place time-sensitive orders sufficiently in advance. A requested event date is not guaranteed unless Kyza expressly confirms it as a guaranteed deadline in writing.


SECTION 14 – SHIPPING AND DELIVERY

Shipping terms, charges and estimated timelines are governed by our Shipping Policy and the information shown during checkout.

Customers must provide:

  • a complete delivery address;

  • correct postal code;

  • active telephone number;

  • correct recipient name; and

  • any information required by the delivery provider.

Kyza is not responsible for delays, failed delivery or return-to-origin caused by:

  • an incorrect or incomplete address;

  • an unavailable recipient;

  • refusal to provide OTP or delivery verification;

  • an inactive telephone number;

  • repeated failed delivery attempts;

  • refusal to accept the parcel;

  • customs delays; or

  • circumstances attributable to the customer.

Where a parcel is returned because of circumstances attributable to the customer, re-dispatch charges and return-to-origin charges may apply.

High-value or solid-gold shipments may require insured logistics, identity verification, tax information, signature, OTP or other delivery confirmation.

International customers are responsible for customs duties, import taxes, brokerage charges and local governmental fees unless otherwise stated in writing.

Ownership and risk pass in accordance with applicable law and the terms of the delivery provider.

Customers should inspect parcels promptly. Any parcel that appears visibly opened, damaged or tampered with should be photographed or recorded before opening and reported to Kyza as soon as reasonably possible.


SECTION 15 – CHECKOUT, GOKWIK AND PAYMENT PROVIDERS

Our checkout may be facilitated through Shopify, GoKwik or other third-party checkout technology.

GoKwik may support functions including:

  • checkout facilitation;

  • mobile-number verification;

  • address pre-filling;

  • cash-on-delivery eligibility;

  • fraud assessment;

  • return-to-origin risk assessment;

  • checkout optimisation;

  • order confirmation; and

  • checkout-related communication.

Online and prepaid payment transactions are processed by the applicable payment gateway, payment aggregator, bank, card network or UPI provider integrated with the checkout.

Your use of third-party checkout or payment services may also be subject to the relevant provider’s terms and privacy policy.

Kyza is not responsible for a temporary outage or technical failure occurring solely within an independent payment, banking or checkout provider’s systems, but we will reasonably assist with order-status or payment-confirmation enquiries.

Where an amount is debited but an order is not confirmed, the customer should contact us with the transaction reference. Refund or reversal timing may depend on the payment provider and bank.


SECTION 16 – ADVANCE PAYMENTS AND OUTSTANDING BALANCES

Certain custom, high-value or solid-gold orders may require an advance payment.

The advance may be used to:

  • reserve production capacity;

  • procure gold;

  • procure stones;

  • prepare CAD or design work;

  • begin manufacturing; or

  • secure other order-specific materials.

The remaining balance must be paid according to the payment schedule communicated for the order.

We may pause production, certification or dispatch until the outstanding amount is received.

Where a customer abandons an order after approving production, the advance may be non-refundable to the extent it represents:

  • materials already purchased;

  • design work completed;

  • labour already performed;

  • cancellation charges incurred; or

  • other actual order-specific costs.

Any deduction will remain subject to the written order terms and applicable law.


SECTION 17 – CANCELLATIONS, RETURNS, EXCHANGES AND REFUNDS

Cancellations, returns, exchanges, replacements and refunds are governed by our Refund Policy, available at:

Because most Kyza products are made to order, custom-made, personalised, engraved or produced in a customer-confirmed size, they may not be eligible for cancellation, return or exchange merely due to:

  • change of mind;

  • incorrect size supplied by the customer;

  • dislike of an approved design;

  • preference for another stone size;

  • preference for another metal or finish;

  • minor handmade variation;

  • natural tarnishing;

  • gradual plating wear; or

  • failure to read the product description.

Nothing in these Terms excludes any mandatory remedy available under applicable consumer law.

Where a product is defective, damaged upon delivery, incorrect or materially different from the confirmed order, the customer should notify us within the reporting period stated in our Refund Policy and provide reasonable supporting photographs or video.

We may assess the product before approving a repair, replacement, refund or other remedy.

A customer must not send jewellery back without receiving return instructions from Kyza.


SECTION 18 – INSPECTION AND QUALITY CONCERNS

Each piece may undergo quality checks before dispatch.

Customers must report a suspected defect with:

  • order details;

  • clear photographs;

  • a video where necessary;

  • a description of the concern; and

  • packaging photographs where damage occurred during transit.

Kyza may request that the product be returned for physical inspection.

A reported concern will not automatically be treated as a manufacturing defect if it results from:

  • accidental damage;

  • wear and tear;

  • improper storage;

  • chemical exposure;

  • bending;

  • pulling;

  • impact;

  • unauthorised repair;

  • incorrect sizing supplied by the customer;

  • natural stone characteristics;

  • normal tarnishing; or

  • normal plating wear.

Where a genuine manufacturing defect is confirmed, we will provide an appropriate remedy in accordance with our policy and applicable law.


SECTION 19 – PHOTOGRAPHS BEFORE DISPATCH

Where Kyza voluntarily shares photographs or videos before dispatch, they are provided as an additional customer-service measure.

Unless express approval is required under the order agreement, the sharing of a photograph does not indefinitely suspend dispatch.

Photographs may be affected by lighting, camera settings, angle, magnification and screen display.

Approval of a dispatch photograph does not waive the customer’s right to report a genuine manufacturing defect or a material departure from the confirmed order.


SECTION 20 – ACCURACY OF CUSTOMER AND BILLING INFORMATION

You agree to provide current, complete and accurate:

  • name;

  • delivery address;

  • billing information;

  • telephone number;

  • email address;

  • ring size;

  • customisation details; and

  • other information required to fulfil the order.

We may refuse, limit or cancel orders that reasonably appear to:

  • contain false information;

  • be fraudulent;

  • misuse promotional offers;

  • involve unauthorised resale;

  • create abnormal payment risk; or

  • violate these Terms.

If we change or cancel an accepted order, we will attempt to contact you using the information supplied at checkout.


SECTION 21 – PROMOTIONS, COUPONS AND COMPLIMENTARY GIFTS

Promotions, discount codes and complimentary gifts are subject to the terms communicated with the applicable offer.

Unless otherwise stated:

  • only one discount may be used per order;

  • discounts cannot be applied retrospectively;

  • promotional codes cannot be exchanged for cash;

  • free gifts are subject to availability;

  • a free gift may not be separately returned for cash value;

  • an order falling below the qualifying value after an approved adjustment may cease to qualify for the gift; and

  • Kyza may cancel a promotion in cases of misuse, fraud or obvious pricing error.

We may modify or withdraw a promotion before an eligible order is placed.


SECTION 22 – INTELLECTUAL PROPERTY

All website content, including:

  • product designs;

  • photographs;

  • videos;

  • graphics;

  • logos;

  • brand names;

  • written content;

  • CAD presentations;

  • packaging concepts;

  • website layout; and

  • marketing materials

is owned by or licensed to Kyza and is protected by applicable intellectual-property laws.

You may not copy, reproduce, publish, commercially exploit, distribute or create misleading derivative content from our materials without written permission.

Purchase of a jewellery product does not transfer ownership of the underlying product design, photography, CAD or brand intellectual property.

Custom-order customers grant Kyza permission to use non-identifying photographs or videos of the finished jewellery for portfolio, website and marketing purposes unless the customer requests confidentiality in writing before publication.

We will not intentionally publish personal engraving, private reference photographs or identifying customer information without appropriate permission.


SECTION 23 – REVIEWS, FEEDBACK AND USER SUBMISSIONS

Where you submit a review, testimonial, comment, suggestion, product photograph or other content, you confirm that:

  • the content is accurate to the best of your knowledge;

  • you have the right to provide it;

  • it does not infringe another person’s rights;

  • it is not unlawful, abusive, defamatory or misleading; and

  • it does not contain harmful code.

You permit us to display, reproduce and use voluntarily submitted reviews and feedback for legitimate business and promotional purposes, subject to applicable privacy law.

We may remove content that is unlawful, abusive, fraudulent, irrelevant or violates these Terms.

We are not obligated to publish every review or submission.


SECTION 24 – PERSONAL INFORMATION

Our collection and handling of personal information is governed by our Privacy Policy, available at:

By using our website and Services, you acknowledge that information may be processed by Shopify, GoKwik, payment providers, shipping partners and other service providers required to operate the store, subject to the Privacy Policy and applicable law.


SECTION 25 – THIRD-PARTY SERVICES AND LINKS

Our Services may integrate with or link to third-party services, including:

  • Shopify;

  • GoKwik;

  • payment gateways;

  • banks;

  • UPI providers;

  • logistics providers;

  • social-media platforms;

  • analytics tools; and

  • marketing services.

We do not control independent third-party websites or their privacy and security practices.

Customers should review the applicable third party’s policies before using its service.

We are not liable for third-party content or services except to the extent liability cannot lawfully be excluded or where we remain responsible under applicable consumer law.


SECTION 26 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally, the website may contain errors or omissions concerning:

  • product descriptions;

  • prices;

  • promotions;

  • availability;

  • shipping charges;

  • measurements;

  • materials;

  • production timelines; or

  • other information.

We may correct errors and update information at any time.

Where an obvious pricing or description error affects an order, we may contact the customer to confirm the corrected terms or cancel and refund the affected order.

This section does not permit Kyza to change a confirmed order arbitrarily or remove any mandatory consumer right.


SECTION 27 – PROHIBITED USES

You may not use the website or its content:

  • for an unlawful purpose;

  • to violate any applicable law;

  • to infringe intellectual-property rights;

  • to harass or harm another person;

  • to submit false or misleading information;

  • to transmit harmful code;

  • to collect another person’s personal information unlawfully;

  • to spam, phish, scrape or attack the website;

  • to bypass website security;

  • to misuse discounts or checkout services;

  • to place fraudulent orders; or

  • to interfere with the operation of the Service.

We may restrict access or take appropriate action for a prohibited use.


SECTION 28 – DISCLAIMER OF WARRANTIES

We aim to operate the website reliably, but do not guarantee that the website will always be uninterrupted, error-free or available.

The website and Services are provided on an β€œas available” basis, subject to any express product warranties, contractual commitments and mandatory rights available under law.

Information provided through blogs, social media or general website content is for general guidance and does not replace professional jewellery, medical, financial, tax or legal advice.

Nothing in these Terms excludes an express promise made by Kyza concerning a confirmed order or any right that cannot lawfully be excluded.


SECTION 29 – LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Kyza will not be liable for indirect, incidental, special or consequential loss arising solely from:

  • misuse of the website;

  • unauthorised access caused by the customer;

  • third-party platform outages;

  • incorrect information supplied by the customer;

  • failure to follow jewellery-care instructions; or

  • circumstances beyond our reasonable control.

Where Kyza is legally liable in relation to an order, our liability will be determined in accordance with applicable law and the nature of the loss.

Nothing in these Terms:

  • excludes liability for fraud or wilful misconduct;

  • excludes liability that cannot lawfully be excluded;

  • limits any mandatory consumer remedy;

  • excludes responsibility for a genuine manufacturing defect; or

  • overrides obligations under applicable consumer-protection law.


SECTION 30 – INDEMNIFICATION

To the extent permitted by law, you agree to indemnify Kyza against third-party claims arising directly from:

  • your unlawful use of the website;

  • your infringement of another party’s intellectual property;

  • fraudulent information supplied by you;

  • unauthorised commercial use of Kyza content; or

  • your material breach of these Terms.

This clause does not require a consumer to indemnify Kyza for Kyza’s own negligence, breach, unlawful conduct or failure to fulfil statutory obligations.


SECTION 31 – FORCE MAJEURE

Kyza will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including:

  • natural disasters;

  • flood;

  • fire;

  • epidemic;

  • pandemic;

  • governmental restriction;

  • civil disturbance;

  • war;

  • labour disruption;

  • transport shutdown;

  • internet or power failure;

  • courier disruption;

  • customs delay;

  • hallmarking-office closure; or

  • severe material-supply interruption.

We will make reasonable efforts to communicate significant delays and resume performance when reasonably possible.

Where performance becomes permanently impossible, the parties’ rights will be determined according to the stage of production, unrecoverable custom costs and applicable law.


SECTION 32 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.

The remaining provisions will continue in effect.


SECTION 33 – NO WAIVER

Our failure to enforce a provision immediately does not waive our right to enforce it later.

Any waiver must be clearly communicated and applies only to the specific matter for which it was given.


SECTION 34 – TERMINATION

These Terms remain effective while you use the website or Services.

You may stop using the website at any time.

We may restrict or terminate access where you materially violate these Terms, engage in fraud or misuse the Services.

Termination does not affect:

  • payment obligations already incurred;

  • rights arising from an existing order;

  • intellectual-property protections;

These Terms, together with the following applicable policies and written order confirmations, constitute the agreement between you and Kyza:

  • Privacy Policy;

  • Refund Policy;

  • Shipping Policy;

  • product description;

  • custom quotation;

  • invoice;

  • CAD approval;

  • written design confirmation; and

  • other terms expressly agreed for a particular order.

Where a specific written custom-order term conflicts with a general provision in these Terms, the specific written term will apply to that order, subject to applicable law.


SECTION 36 – GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India.

Subject to any mandatory jurisdiction or consumer forum available under applicable law, courts situated in Kolkata, West Bengal will have jurisdiction over disputes arising from these Terms or the Services.

Nothing in this provision prevents a consumer from approaching a consumer commission, regulator or other forum available under applicable law.
